Terms of Use
1. Definitions
- Publisher / Company: S.A.R.L. LES FANTASTIQUES, whose details appear in the Legal notice.
- Platform: the collaborative SaaS platform accessible at
https://www.synintra.comand via any subdomain of the formhttps://<incubator>.synintra.com, together with its associated applications and services. - Support organisation (Client entity / the "Client"): any entrepreneurship support organisation - in particular a business nursery, incubator, accelerator or coworking space - holding a subscription to the Platform, which opens access to its members (hereinafter the "Organisation").
- User: any natural person holding an Account on the Platform - in particular the directors, employees, members, partners and providers of an Organisation.
- Account: the personal space opened by a User, secured by a username and password.
- Services: all the features offered by the Platform (news, events, polls, directory, room and space booking, messaging).
- Terms of Use: these Terms of Use.
- Terms of Sale: the Terms of Sale governing subscriptions, entered into between the Publisher and the Organisation (or, where applicable, the User subscribing to an individual paid service).
2. Purpose
These Terms of Use set out how Users may access and use the Platform. They apply to any use of the Platform, independently of the Terms of Sale which govern the commercial subscription relationship.
3. Acceptance of the Terms
Use of the Platform implies full and unreserved acceptance of these Terms of Use. When creating their Account, the User declares that they have read the Terms of Use and the Privacy policy and accept them without reservation by ticking the box provided for this purpose.
Acceptance is time-stamped and retained by the Publisher as evidence. A User who does not accept the Terms of Use may not use the Platform.
4. Access to the service and account creation
Access to a private space <incubator>.synintra.com is reserved for Users attached to an Organisation holding an active subscription. An Account is opened by invitation (single-use invitation link) or by validated registration.
The User undertakes to provide accurate information and to keep it up to date. They are solely responsible for the confidentiality of their credentials and for any activity carried out from their Account. Any internet access cost and any necessary equipment remain their responsibility.
5. Description of the services
The Platform provides, depending on the configuration chosen by each Organisation, features such as: news feed, events, polls, member directory, room and space booking, messaging. The Publisher may change, add or remove features.
6. Business model
Access to the Platform is based on a subscription taken out by the Organisation (or, for certain individual services, by the User themselves). The pricing, subscription, renewal and termination conditions are set out in the Terms of Sale. Users' access to a private space is conditional on the corresponding Organisation maintaining an active subscription.
7. Commitments and prohibited conduct
The User undertakes to use the Platform fairly. The following are in particular prohibited:
- any action intended to interrupt, slow down, overload or disrupt the operation of the Platform;
- any intrusion or attempted intrusion, any breach of the security and authentication measures;
- any misuse of the purpose or resources of the Platform;
- using a single platform to cover several distinct sites, buildings or establishments, a platform being strictly limited to a single site (see Article 2 bis of the Terms of Sale);
- the dissemination of unlawful content, in particular content contrary to public order and morality, defamatory, abusive, hateful, discriminatory, glorifying crime, or infringing the rights of third parties;
- any infringement of the intellectual property rights of the Publisher or third parties.
Any manifestly unlawful content may be reported to the Publisher. In the event of a breach, the Publisher may suspend or terminate access under the conditions of article 12.
8. Intellectual property
The Platform and all its components are the exclusive property of the Publisher. The User is granted a personal, non-exclusive and non-transferable right of use, limited to the duration of their access. Any unauthorised reproduction or exploitation is prohibited.
Content published by Users remains their property; by publishing it, the User grants the Publisher and their Organisation a licence of use strictly necessary for the operation of the service.
9. Personal data
The processing of personal data is described in the Privacy policy. With respect to data managed on behalf of an Organisation, the Publisher acts as a processor within the meaning of article 28 of the GDPR, under the terms of a data processing agreement entered into with the Organisation.
10. Availability and maintenance
The Publisher endeavours to provide access to the Platform 24/7, without being able to guarantee uninterrupted availability. It may suspend access for maintenance, update or security operations, while endeavouring to limit the resulting inconvenience. The Publisher is not responsible for hazards inherent to the internet network.
11. Liability
The Publisher is bound by an obligation of means. Its liability cannot be engaged in the event of force majeure, the act of a third party or misuse of the Platform by the User. The Publisher cannot be held liable for indirect damages. No provision herein has the effect of limiting the Publisher's liability where the law prohibits it.
12. Suspension and termination
The Publisher may suspend or delete an Account in the event of a breach of these Terms of Use, at any time and, in the event of an emergency or serious breach, without notice. The User may request the closure of their Account at any time. Termination of the Organisation's subscription results in the closure of the attached Users' access, under the conditions of the Terms of Sale.
13. Changes to the Terms
The Publisher may amend these Terms of Use. Users are informed thereof. In the event of a substantial change, acceptance of the new Terms of Use may be required at the next login in order to continue using the Platform; refusal may prevent further use of the relevant Services.
14. Severability
If any provision of these Terms of Use is held to be void or unenforceable, the remaining provisions shall remain fully applicable.
15. Governing law and jurisdiction
These Terms of Use are governed by French law. Failing an amicable resolution, any dispute falls within the jurisdiction of the courts of Créteil, subject to the mandatory rules protecting consumers.
